Terms of Service (Brandios)

Effective date: February 7, 2026

These Terms of Service (the “Terms”) govern your access to and use of the Brandios Shopify app and related services (the “Service”). By installing, accessing, or using the Service, you agree to these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent you have authority to bind that entity, and “you” refers to that entity. If you are an individual, “you” refers to you.

1) Definitions

• “Merchant” means the Shopify merchant that installs or uses the Service.
• “Store” means the Merchant’s Shopify store.
• “Content” means Store content (products, collections, pages, blog posts, etc.) and any materials the Merchant provides.
• “Output” means AI-generated or system-generated results (e.g., markdown mirrors, prompts/questions, analyses, scores, reports).

2) The Service

Brandios provides tools to:

• Generate AI-friendly markdown “mirror” pages for Store content.
• Run AI visibility tests and analytics (e.g., recommendation rates, competitor mentions, citations/links).
• Provide competitive intelligence features (e.g., market insights) and trust/reputation analysis.

The Service may integrate with third parties (including Shopify and AI providers).

Shopify relationship

The Service is a third-party application built for Shopify. Shopify is not responsible for the Service and does not endorse or warrant the Service. Your use of Shopify is governed by Shopify’s own terms and policies.

3) Account, installation, and permissions

To use the Service, you must install the App on Shopify and grant requested permissions (API scopes). You are responsible for:

The App only requests and uses Shopify API permissions that are reasonably necessary to provide the Service’s stated functionality.

• Maintaining the confidentiality of your Shopify account credentials.
• Ensuring you have rights to use and provide Content processed by the Service.
• Ensuring your Store’s use of the Service complies with applicable laws and Shopify’s terms.

4) Fees, billing, trials, and taxes

A. Plans and billing

Paid plans (e.g., Starter/Growth/Pro) are billed through Shopify using Shopify’s billing system. If you purchase a subscription:

• Your subscription renews automatically unless canceled.
• Billing cadence and amounts are shown at checkout and/or in the Service.

B. Trials

If a trial is offered, trial duration, feature limits, and eligibility may vary and will be described in the Service.

C. Taxes

You are responsible for any taxes, duties, or governmental assessments associated with your subscription, except where we are required to collect them.

5) Acceptable use

You agree not to:

• Use the Service for unlawful, infringing, abusive, or harmful activities.
• Attempt to reverse engineer, bypass access controls, or interfere with the Service.
• Upload or provide Content that you do not have rights to use.
• Use the Service to collect personal data in a way that violates applicable privacy laws.
• Use the Service to misrepresent AI-generated outputs as endorsements, guarantees, or factual statements from third parties.

We may suspend or terminate access if we reasonably believe you have violated these Terms.

6) AI outputs and disclaimers

A. No guarantees

The Service measures and analyzes how AI systems may respond to prompts at a given time. We do not guarantee:

• Any increase in sales, traffic, rankings, or AI recommendations.
• That any AI model will cite or recommend a Merchant.
• That outputs are complete, current, or error-free.

B. Outputs are informational

Outputs are provided for informational purposes and are not legal, financial, medical, or other professional advice.

C. Third-party AI behavior

AI providers and search systems change frequently. Results may vary by model, geography, time, and provider updates.

7) Content, ownership, and license

A. Your Content

As between you and us, you retain ownership of your Content.

You grant us a non-exclusive, worldwide license to host, store, copy, process, transmit, and display Content as necessary to provide, maintain, and improve the Service.

B. Our Output and Service

We and our licensors own the Service, including software, templates, and aggregated improvements, except to the extent they incorporate your Content.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business use with your Store.

As between you and us, you may use Output generated for your Store for your internal business purposes. We may use aggregated and anonymized Output to improve the Service.

8) Privacy

Our Privacy Policy describes how we collect and use information. See: Privacy Policy.

9) Suspension and termination

You may uninstall the App at any time. Uninstalling the App should stop future billing through Shopify.

Upon uninstall, access to the Service will cease, and store-associated data will be handled as described in our Privacy Policy.

We may suspend or terminate access to the Service:

• If required by law.
• If your Shopify account is not in good standing.
• If you materially breach these Terms.

10) Warranty disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US (THROUGH SHOPIFY) FOR THE SERVICE IN THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in that case, liability will be limited to the maximum extent permitted.

12) Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising out of:

• Your Content,
• Your use of the Service,
• Your breach of these Terms,
• Your violation of law or third-party rights.

13) Changes to the Service or Terms

We may modify the Service and these Terms from time to time. If changes are material, we will provide notice by updating the Terms and adjusting the effective date and/or providing notice within the Service.

14) Governing law and venue

These Terms are governed by the laws of Jordan, without regard to conflict of laws principles.

Any dispute will be brought in the courts located in Amman, Jordan, unless applicable law requires otherwise.

16) Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including outages or disruptions of Shopify, AI providers, hosting, or other infrastructure services.
